Applicable to all B2B sales by HOODO SARL in the 6 countries of presence. Any order implies unconditional acceptance of these GTS.

Art. 1Scope and Enforceability
- Applicable to all B2B sales in the 6 countries of presence: Cameroon, Gabon, Chad, Congo-Brazzaville, CAR, Equatorial Guinea.
- These GTS take precedence over any Client document unless expressly waived in writing by HOODO.
- Any contrary condition from the Client is unenforceable against HOODO.
Art. 2Offers and Quotations
- Quotations and proformas are valid for 30 days from their issue date.
- Prices in FCFA (XAF) Excluding Taxes — 19.25% VAT not included.
- Any change of scope during execution is subject to a signed amendment.
- Quotation accepted with the mention 'Good for agreement' = firm and definitive order, obligation to pay.
Art. 3Orders and Purchase Orders
- Any order is formalized by a signed Purchase Order (HOODO-COM-BC-001) or by written acceptance of the quotation.
- Minimum deposit of 30% of the gross amount required for any order exceeding 500,000 FCFA excl. VAT.
- HOODO may refuse any order in the event of a previous dispute or outstanding debt.
- Orders for specific products (imported or custom-configured) cannot be cancelled after acceptance — the deposit is retained by HOODO upon cancellation.
Art. 4Prices and Pricing Conditions
- Prices in FCFA excl. VAT — 19.25% VAT applicable.
- Withholding tax of 5% on service provisions (DGI Cameroon), deductible from net payable.
- HOODO may modify its rates at any time — applicable prices = those of the accepted quotation.
- No discount exceeding 5% without written agreement from General Management.
- Delivery, installation and transport costs invoiced additionally unless stated otherwise on the quotation.
Art. 5Invoicing and Payment Terms
- Invoice issued in accordance with Cameroonian tax legislation.
- Standard payment term: 30 days from the invoice date.
- 2% discount for any payment within 8 days following the invoice date.
- Accepted payment methods: bank transfer (Ecobank N° 30505000265), certified or bank check, cash up to 500,000 FCFA, mobile money upon prior agreement.
- Retention of title: delivered products remain the property of HOODO until full payment (OHADA Art. 72).
Art. 6Late Payment and Penalties
- Automatic late payment penalties, without formal notice: 1.5% per month on the unpaid gross amount.
- Fixed recovery compensation: 40,000 FCFA per unpaid invoice.
- HOODO reserves the right to suspend all ongoing services and declare all receivables immediately due.
- Debt recovery costs (lawyer, bailiff) fully borne by the defaulting Client.
Art. 7Delivery and Transfer of Risk
- Delivery times are indicative and do not constitute a strict deadline unless otherwise agreed in writing.
- Transfer of risks (loss, theft, damage) upon signature of the Delivery Note (HOODO-LOG-BL-001).
- The Client has 48 hours after delivery to report any visible damage — beyond this, delivery is deemed compliant.
- Reservations must be expressly noted on the Delivery Note — verbal reservations are unenforceable.
Art. 8Warranties and After-Sales Service
- IT equipment: standard 12-month manufacturer warranty (Lenovo, HP, Dell — varies by brand and product) — covers manufacturing defects, excluding improper use.
- Retail solutions: minimum 12-month warranty (Zebra, Posiflex, Epson, Ova).
- Service provisions: written claim within 15 days following the provision.
- Warranty exclusions: misuse, modification by unauthorized third parties, force majeure, electrical surge, malicious act.
Art. 9Training Services
- Training sessions (Power BI, Excel, Sage) are subject to a training agreement and a summons.
- Session cancellation: 7 business days prior = no charge | 3 to 7 days = 30% of the amount | less than 3 days or unnotified absence = 100% of the amount.
- Training certificate issued to each participant who has completed the entire session.
- Training materials remain the intellectual property of HOODO — reproduction or distribution prohibited without written consent.
Art. 10Maintenance and Managed Services Contracts
- Governed by the Maintenance Contract (HOODO-SSI-CMI-001) or the Managed Services Contract (HOODO-SSI-INF-001) which take precedence over the GTS in case of contradiction.
- SLA: Critical < 48 h | High < 72 h | Normal < 5 days — time limits start from ticket opening.
- Non-compliance with SLA due to proven fault by HOODO: maximum rebate of 1 month's fee — without further recourse possible.
Art. 11Liability of HOODO
- HOODO's liability is engaged only in the event of proven fault, limited to direct and foreseeable damages, excluding indirect damages (loss of revenue, loss of data, loss of profit).
- HOODO's liability is capped at the net amount of the order or contract in dispute.
- No liability for data loss in the absence of regular backups on the Client side.
- No liability in the event of force majeure or acts of third parties.
Art. 12Intellectual Property and Confidentiality
- HOODO owns all intellectual property rights to its tools, methodologies, materials and documentation.
- The Client commits to keeping confidential all technical, commercial and pricing information communicated by HOODO.
- HOODO reciprocally commits to keeping confidential all Client information accessible during its interventions.
Art. 13Personal Data Protection
- Collected data (surname, given name, email, phone) is processed in accordance with Cameroonian Law No. 2010/012 (cybersecurity) and the EU GDPR 2016/679 for reference.
- Right of access, rectification and deletion of personal data exercisable via email to contact@hoodo-sarl.com.
Art. 14Applicable Law, Jurisdiction and Dispute Resolution
- Cameroonian law + OHADA Uniform Act (AUDCG).
- In the event of a dispute, pursuit of an amicable solution within 30 days of written notification.
- Failing an amicable agreement: competent courts at the registered office of HOODO (Douala, Cameroon).
- In the event of international dispute: possible arbitration under the CCJA-OHADA Rules.
Art. 15Update and Communication of GTS
- HOODO may modify the GTS at any time — the applicable version is the one in effect at the date of the order, available on www.hoodo-sarl.com.
- Any substantial modification is notified by email to active clients with a 30-day notice.
- Any order subsequent to an update implies acceptance of the new conditions.
